Terms and Conditions

• Reseller will automatically receive a discount on the cost of any Barracuda Security Devices Inc. product elligable for resale. The value of the discount will always be posted on this web site.
• The reseller will also benefit from additional discounts and premiums based on performance and sales results as offered by Barracuda Security Devices Inc.
• All clients entering into an agreement with Reseller remain clients of Reseller.
• Reseller reserves the right to set the fair market price for all resold Barracuda Security Devices Inc.
• Barracuda Security Devices Inc. reserves the right to accept or decline Reseller Program without explanation.
• Barracuda Security Devices Inc. reserves the right to terminate a reseller's account at any time with immediate effect if it's found that reseller is exercising any of the Improper Business Practices listed below.
• Barracuda Security Devices Inc. reserves the right to change the rate of commission and/or the products included in the reseller program, although we will not do so without giving prior notice to existing resellers.
• Reseller discount starts from the second sale, which means the first sale is not subject to Reseller Program.
• Discount purchases should be placed through our website order form (applies to first purchase as well). Improper Business Practices Any reseller activities considered by Barracuda Security Devices Inc. as improper are subject to termination of reseller account and legal prosecution to the maximum extent possible under the law. Improper activities include, but are not limited to
• Using unsolicited email (and/or spam) to promote Reseller's business or products sold
• Linking to Barracuda Security Devices Inc. products from sites that contain sexually explicit or any indecent, obscene or clearly offensive material
• Promote any illegal activity, promote violence or discrimination providing customers with insufficient or misleading information about business, products, trademarks or copyrights
• Any other method of promotion which, in our judgment, is likely to bring Barracuda Security Devices Inc. into disrepute
• Reseller agrees that it shall defend, indemnify, save and hold Barracuda Security Devices Inc. harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees asserted against Barracuda, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Reseller, it’s agents, employees or assigns.
• Reseller agrees to defend, indemnify and hold harmless Barracuda against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed; (2) any material supplied by Reseller infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) and defective product.
• Barracuda will not be responsible for any damages any business may suffer. Barracuda makes no warranties of any kind, expressed or implied for services provided. Barracuda disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, nondeliveries, wrong delivery, and any and all service interruptions caused by Barracuda and its employees.
